Jeremy Grushcow’s practice focuses on life science, cleantech and other technology-intensive transactions. He has represented venture capital and private equity firms, underwriters, operating companies and founders in connection with public and private offerings, mergers and acquisitions, joint ventures and other strategic transactions, licensing and outsourcing agreements, operating and service agreements and ongoing disclosure advice.
Mr. Grushcow is the founder and co-editor of The Cross-Border Biotech Blog.
Prior to joining the firm, Mr. Grushcow practised in the area of intellectual property transactions and in capital markets at two US-based international law firms.

- Nortel in connection with its multijurisdictional insolvency proceedings including its agreement to sell its global Carrier VoIP and Application Solutions (CVAS) business to GENBAND
- OMERS, a Canadian pension fund, in connection with a unique joint venture with Dutch pension fund ABP to establish an investment program to deploy €200 million in Canada and the Netherlands over the first five years to invest in knowledge economy start-ups with innovative ideas and technologies
- Bioniche Life Sciences and Bioniche Urology in connection with the US licence, development and supply agreement with Endo Pharmaceuticals for Bioniche's lead drug candidate UrocidinTM, a mycobacterial cell wall-DNA complex which Bioniche Life Sciences developed and owns
- A MaRS-based startup specialty pharmaceuticals company in connection with a $500,000 friends-and-family round and a subsequent $2 million equity financing
- Canadian investors in connection with an $11 million cross-border financing of Osprey Pharmaceuticals
- ecobee Inc., a leader in the smart grid space, for US advice in its $6.73 million venture capital financing provided by the Ontario Emerging Technologies Fund (OETF), JLA Ventures and Tech Capital Partners
- A therapeutics company focused on the immune system in connection with a tranched convertible debenture financing
- A diagnostics equipment company in connection with a tranched convertible preferred share offering to US venture capital investors
- Merge Healthcare, a leading medical imaging software and services provider, in its $20 million financing
- Freeworld Global in its purchase of worldwide rights to environmentally friendly biodegradable coating removal products from Napier Environmental Technologies
