Marcel van de Vorst is a corporate lawyer based in Amsterdam where he is head of the corporate team. He specialises in M&A and private equity and equity capital markets.
Marcel’s experience includes a wide range of corporate transactions, such as mergers & acquisitions, disposals, buy-outs, equity financings, joint ventures, restructurings, public take-overs and equity offerings. In addition, he advises clients on matters of corporate governance and compliance. Marcel is an expert in Dutch securities legislation and stock exchange regulations. Marcel has established a reputable equity capital markets practice recognised by leading investment banks and issuers through a number of high-profile (international) stock exchange-related transactions, including IPOs, secondary offerings and public-to-private transactions.
Marcel's experience includes acting for GreenPeak Technologies and its shareholders, including Gimv, DFJ Esprit and Motorola, on the recently closed series B financing round. This financing round of venture funding, was led by Gimv and Robert Bosch Venture Capital and supported by DFJ Esprit and Motorola Ventures and will provide the company with the necessary funds to finance its growth in the coming years; acting for Prime Technology Ventures, a leading Dutch venture capital fund, on its acquisition of five technology companies that were spun-out from Royal Dutch Philips Electronics N.V. as part of the transaction and were structured as separate buy-outs with participation of management. PTV also acquired Philips' interest in two other technology companies that were spun-out earlier; acting for Nestlé S.A. on the sale of its Dutch subsidiary Maitre Paul B.V. to Fortis Private Equity and Clearwood; acting for ING (sole global coordinator) on the EUR 250 million rights issue to finance acquisition of Benelux business from Tele2 (80% shareholder) and for working capital.

Marcel is the editor of the column “Banking and Securities Legislation” in Juridisch up to Date and is the author of a number of articles on recent developments in Dutch banking and securities legislation (including contributions to Het Financieele Dagblad and Ondernemingsrecht). He is a regular conference and seminar speaker. Marcel van de Vorst and Floris Boekholt published “The Guide for Issuers”. This publication has been made in co-operation between Norton Rose and Euronext Amsterdam and is a comprehensive compilation of the most relevant rules and regulations of Euronext Amsterdam. It also contains the most relevant reporting rules that apply to issuers listed on Euronext Amsterdam.
