Norton Rose advises Jefferies on JZ Capital’s £140 million offering

International legal practice Norton Rose LLP has advised Jefferies International, who acted as sponsor, in a combined (i) placing and open offer of ordinary shares, (ii) zero dividend preference share (ZDP) “roll-over” and (iii) new ZDP share issue by JZ Capital Partners Limited, a closed-ended investment company whose shares are listed on the Official List of the London Stock Exchange.

JZ Capital, which is managed by US-based Jordan/Zalaznick Advisers, invests in micro-cap buyouts, mezzanine investments (including high yield securities) and other debt and equity opportunities involving US-based businesses. The placing and open offer was extended to US shareholders on a private placement basis. The ordinary share issue raised £95.6 million and the ZDP roll-over and issue effectively raised £44.6 million.
