Executive summary

This article contains a comprehensive overview of typical provisions of security trust agreements and the role of the security agent in particular. The article comprises of an overview in respect of security trust agreements and their legal qualification under German law and provides for a thorough analysis of the typical terms and provisions of security trust agreements and the position of the security agent. Additionally, negotiation issues relevant for the security agent with a specific view on the fundamentals of the instructions on which the security agent relies and the liability risks of the security agent and the mitigation of such liability risks in the security trust agreement are discussed.
