New registration and updating requirements for Venezuela’s National Registry of Contractors

The ruling establishing the legal, technical and financial requirements to be submitted by individuals and corporate entities interested in registering or updating their information before the National Registry of Contractors (the Ruling) was published in Official Gazette N° 39.995 of August 28, 2012.

Interested parties must be registered before the National Registry of Contractors in order to submit a bid under any of the different contractor selection procedures set forth in the Public Contracting Law whose estimated amount exceeds four thousand tax units (4,000 TUs) for goods and services or five thousand tax units (5,000 TUs) for the execution of works.

Persons who must register with the National Registry of Contractors

The following must register with the National Registry of Contractors: (i) individual merchants (those who have sole proprietorship); (ii) corporate entities such as cooperatives, stock companies, corporations, limited liability companies, civil associations, foundations, socio-productive organizations or any other form of association; (iii) foreign companies domiciled in Venezuela; and (iv) insurance companies. It goes without saying that those who wish to submit bids under any of the different contractor selection procedures before Venezuelan state bodies and entities are obliged to register.

Persons who can conduct the registration or updating process

In the case of corporate entities, the registration or updating process may be carried out by the legal representative, by a member of the board of directors or by a shareholder, or by an associate whose capacity is evidenced by duly registered shareholders’ meeting minutes.

Requirements to obtain National Registry of Contractors registration

The Ruling establishes that in order to complete the registration it is necessary to consign a series of documents, which vary according to the type of corporate entity, highlighted by the Application for Registration with the National Registry of Contractors generated by the National Registry of Contractors online system, signed in original by the legal representative, attaching a copy of his/her identity card.

The documents required for any application for registration or updating are: the deed of incorporation of the respective corporate entity, together with all existing amendments, the Tax Registration Information (Registro de Información Fiscal – RIF), the identification documents of the shareholders, and the ownership document or lease for the premises where the corporate entity operates, among others.

Updating procedure of the National Registry of Contractors

In order to update the National Registry of Contractors, processed before the Auxiliary Contractors’ Registry (Registro Auxiliar de Contratistas) where the registration was originally formalized, it will be necessary to consign the documentation that the interested party wishes to update.

For cases that are processed before an Auxiliary Contractors’ Registry other than the one where the original registration was processed, the documentation required and detailed in the Ruling must be consigned.
