Norton Rose advises Xenon Private Equity on acquisition of majority stake in Italian construction group

International legal practice Norton Rose Studio Legale has advised Xenon Private Equity V on the acquisition of a 75% stake in the newly formed group of companies, resulting from the combination of Rolle ("Rolle") and Brembana Costruzioni Industriali ("Brembana"), two Italian privately held companies. Bremana, established in 1957, is active in the design, fabrication and erection of equipment and piping covering the needs of refineries, chemical, petrochemical and power-generating industries, while Rolle, established in 1935, is one of the most renowned and esteemed companies operating on national and international markets in the construction of pressure vessels, heat exchangers, prefabricated structures and pipes. The remaining 25 percent stake in the new group will be held by Paola Valeria Jovinelli, daughter of the founder of Brembana, Alessandro Rolle, and Marco Rottoli, actual CEO of Brembana and nominated CEO of the new group. The acquisition was partially financed by MPS Capital Service (part of the Monte dei Paschi Group), via a total € 21 million mid-term commitments.
With this important investment, Xenon's objectives are to provide the new group with a strong financial base as well as to accompany and advise its managers in the successful implementation of a future growth plan, including exploring export opportunities and entering new global markets.
