Our asset finance team is experienced in virtually every form of finance and lease structures used on the market in recent years. Our approach combines best practice and commercially innovative ideas in order to provide clients with realistic solutions. We advise clients on highly complex transactions, often with cross-border input and several lawyers of financing, legal structures and different jurisdictions.
Acquisition Finance is one of the core practice areas of our banking team. We act for credit institutions, equity houses, borrowers and financial advisors.
Over the past few years, the acquisition finance team has advised banks/debt providers on more than one hundred significant acquisitions. We also have extensive experience in advising on specific aspects of such transactions, including equity substitution, statutory restrictions on debt financing and complex P2P structures.
Our capital markets team advises investment banks, issuers and other market participants on the structuring, issuing and distribution of all kinds of equity and debt instruments as well as on complex capital markets transactions. This includes share and bond issues, certificates, equity-linked and derivative products. We also have extensive experience in the area of securitisation - both true sale and synthetic structures - and we have acted in a number of (non-performing) loan portfolio transactions.
Our projects team has extensive experience in national and international PPP/PFI projects with a focus on telecommunications projects, transport infrastructure, industrial plants and alternative energy.
As leading investment fund experts, we combine economic understanding and extensive knowledge of all legal provisions investment companies and regulated investors may be subject to. We have a broad ranging and internationally based practice and regularly advise on retail and institutional funds, onshore, offshore, open and closed end funds, investments in equities, bonds, real estate and other specialist asset classes. We routinely advise clients on the structuring of unit funds, including choice of jurisdiction and vehicle (limited partnership, corporation, unit trust, etc.), tax efficiency for investors, marketing arrangements and regulatory issues.
Regulatory / banking supervision
Our banking supervision team has considerable experience in establishing banks and financial institutions as well as in advising private and public clients on financial product distribution. One particular focus is the structuring of outsourcing solutions where we have excellent contacts at the supervisory authorities. We also advise and support financial institutions in relation to the implementation of the EU Markets in Financial Instruments Directive (MiFID).
