Peter Wiazowski focuses on corporate finance and securities (in particular, debt financing), banking and financial institutions, infrastructure finance, private equity, and mergers and acquisitions. He has particular expertise in cross-border transactions, with an ability to deal with capital markets and corporate law issues in both Canada and the United States.

He represents issuers, financial institutions and funds in public and private financings, securities offerings (including North American and European cross-border transactions), secured borrowings, infrastructure financings, tender offers and mergers. He also advises public companies on continuous disclosure obligations, governance issues, risks and controls, and the conduct of shareholders’ meetings.

Prior to joining our Montréal office, Mr. Wiazowski practised in these areas in New York and Paris as an associate at Sullivan & Cromwell LLP.

Mr. Wiazowski has recently acted for the following clients:

  • Videotron Ltd. in numerous high-yield bond offerings and capital markets liability management initiatives, including Videotron’s Rule 144A private placement of US$800 million principal amount of its 5% Senior Notes due 2022 (as well as subsequent SEC registration of the A/B exchange offer) and contemporaneous US public debt tender offer
  • Bombardier Inc. in numerous capital markets liability management initiatives, including its cross-border private placements of two tranches of its senior notes (due 2018 and 2020) in an aggregate principal amount of US$1.5 billion and concurrent US$1.0 billion multijurisdictional, multi-tranche and multi-currency cascaded public debt tender offers
  • Garda World Security Corporation, in multiple private placements of high-yield bonds in the US and Canadian capital markets, including two concurrent series of 9.75% Senior Unsecured Notes due 2017 in aggregate principal amounts of US$250 million and C$75 million, as well as subsequent re-openings/add-ons to the C$ tranche of C$100 million in the aggregate
  • The syndicate of initial purchasers, led by Imperial Capital and Canaccord Genuity, in connection with the US (Rule 144A) and Canadian cross-border private placement of C$132.5 million principal amount of 11.5% Senior Secured Notes due 2017 by The Cash Store Financial Services
  • Barrick Gold Corporation in respect of the $5.0 billion financing of its takeover bid for Equinox Minerals Limited
  • Valeant Pharmaceuticals International, Inc. in its private placement in the United States and Canada of US$1.5 billion of its senior notes due 2016 and 2022
  • Quebecor Media Inc. in its private placement in Canada and the United States of C$325 million of its senior notes due 2021
  • Caisse de dépôt et placement du Québec in various investments, including recent private equity investments in certain natural resource assets, as well as its co-investment with Cascades Inc. in a paper mill project financing in New York State
  • The senior lenders, underwriters and bondholders in connection with the $1.2 billion P3/infrastructure bank-bond financing (including the institutional private placement of $764 million aggregate principal amount of long-term bonds) of the new McGill University Health Centre. (The deal was awarded Thomson Reuters’ 2010 PFI Award for PPP Deal of the Year (Americas) at the PFI Awards Dinner held in January 2011 in London, UK)
  • RBC Capital Markets, as underwriter, in connection with the $393.8 million bond financing of the research centre of the Centre hospitalier de l’Université de Montréal (CRCHUM) hospital project
